“Master Service and License Agreement” (MSLA)
1. Introduction and Purpose
This Master Service and License Agreement (MSLA) governs the relationship between Cyzea.io (“Service Provider”) and the customer (“Customer”) regarding the use of CYBOARD – Cyzea.io’s Cyber Risk Management software platform. The purpose of this MSLA is to define the terms under which the Service Provider will deliver its services, including licensing, support, and data protection, as well as to outline the rights and responsibilities of both parties.
This MSLA aims to ensure that the customer receives a high level of service while also establishing clear guidelines for service performance, payment terms, license usage, and compliance with applicable regulations. By using the platform, the customer agrees to be bound by the terms of this MSLA, which applies to all services and interactions between the parties unless superseded by a separate agreement.
2. Service Commitments
2.1. Service Availability
Cyzea.io is committed to providing a high level of service availability and performance. While we strive to ensure minimal disruption and prompt resolution of issues, service availability may occasionally be affected by factors beyond our control.
2.2. Response and Resolution Times
Cyzea.io endeavors to respond to customer support requests as quickly as possible. Our goal is to prioritize critical incidents and provide timely resolutions, ensuring that the platform remains functional for all users. For non-critical incidents, we aim to resolve issues in a reasonable timeframe, while keeping customers informed of progress.
3. Support
3.1. Support Hours
Cyzea.io aims to provide timely responses to all customer support requests. For non-critical requests, we strive to respond within 24 hours, while for critical issues, our goal is to respond within 12 hours. We are committed to resolving issues as efficiently as possible and will keep customers updated throughout the process.

4. Scheduled Maintenance
Cyzea.io performs regular maintenance to improve performance and security. Customers will be notified at least 72 hours in advance of any scheduled maintenance that may affect service availability.
4.1. Unscheduled Downtime
In the event of unscheduled downtime, Updates on progress and estimated resolution times will be provided regularly.
5. Customer Responsibilities
Customers are responsible for:
- Secure Access: Ensuring that access credentials are kept confidential and not shared with unauthorized parties.
- Incident Reporting: Reporting issues promptly to Cyzea.io support to ensure timely resolution.
- Compliance with Guidelines: Following usage guidelines and recommended practices as provided by Cyzea.io.
6. Incident Management and Reporting
In the event of a security breach or other significant incident, Cyzea.io will notify affected customers within 24 hours of discovery.
7. Terms, Termination, and Amendments
This Master Service and License Agreement (MSLA), including the terms of use governing the customer’s access and usage of the CYBOARD platform, remains in effect as long as the customer subscribes to the CYBOARD platform or until terminated in accordance with this agreement. The customer acknowledges that all aspects of the terms of use, including service commitments, licensing, payments, and data protection, are governed by the provisions set forth in this MSLA.
7.1. Termination
Either party may terminate this MSLA in accordance with its provisions, including the right to terminate for convenience with 30 days’ written notice or for cause due to a breach of the terms of use.
Upon termination, the customer’s right to access the platform ceases, and any remaining obligations, including those related to data export, retention, and confidentiality, will survive as specified in the MSLA.
7.2. Amendments
Cyzea.io reserves the right to amend or update the terms of this MSLA, including the terms of use, at any time. Customers will be notified of any material changes at least 30 days in advance via email or other official communication channels. Continued use of the platform after the effective date of any amendment constitutes acceptance of the updated terms.
8. Compliance and Regulatory Requirements
Cyzea.io is dedicated to maintaining the security and privacy of customer information. Although our platform does not collect or process sensitive data, we follow industry best practices to ensure that all customer data is handled securely. Customer data is stored in Germany within an ISO 27001 certified cloud datacenter. This certification ensures that the datacenter adheres to internationally recognized standards for information security management, which include regular audits, strict access controls, data encryption, and risk management practices. The location in Germany means data storage complies with EU data protection regulations, ensuring that our customers’ information remains safe, secure, and protected according to some of the most stringent legal frameworks. 9. Confidentiality and Mutual Non-Disclosure
Both Cyzea.io and the Customer agree to treat as confidential all information that is disclosed during the course of using and providing the Cyzea.io services. This includes but is not limited to trade secrets, business strategies, technical specifications, customer information, and any other proprietary information.
Each party agrees:
- 1. To use the confidential information solely for the purpose of fulfilling its obligations under this MSLA.
- 2. Not to disclose confidential information to any third party without prior written consent from the other party, except as required by law or regulation.
- 3. To take reasonable steps to protect the confidentiality of the information, using the same standard of care it would apply to protect its own confidential information.
This confidentiality obligation does not apply to information that:
- 1. Is or becomes publicly available without breach of this MSLA.
- 2. Is independently developed by the receiving party without reference to the confidential information of the disclosing party.
- 3. Is rightfully received from a third party who is not bound by a confidentiality obligation.
The confidentiality obligations set forth in this section shall remain in effect for two years following the termination or expiration of this MSLA.
10. Insurance and Liability
Cyzea.io maintains professional liability insurance and cyber insurance that specifically cover our consulting services. These insurance policies provide protection against risks such as errors, omissions, and data breaches related to our consulting activities. Please note that these insurance policies do not cover any liabilities or risks related to the operation, performance, or use of our CYBOARD – Cyber Risk Management software-as-a-service (SaaS) platform.
10.1. Limitation of Liability
Cyzea.io’s total aggregate liability arising from or related to this agreement shall not exceed the total amount paid by the customer for the service in the 12 months preceding the event giving rise to the liability.
Under no circumstances shall Cyzea.io be liable for: Indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, business interruption, loss of data, or loss of business opportunity, even if advised of the possibility of such damages.
10.2. Limitation on Claims
Any claim arising out of or related to this MSLA must be brought within 12 months from the date the claim first arose. Failure to bring a claim within this time period will result in the claim being permanently barred.
10.3. Warranty Disclaimer
Cyzea.io provides its services “as-is” and makes no warranties, express or implied, regarding the service, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. While we strive to maintain high service availability and security, we do not guarantee that the service will be uninterrupted, error-free, or completely secure.
10.4. Indemnification
The customer agrees to indemnify, defend, and hold harmless Cyzea.io, its affiliates, and its employees from any and all claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of or related to:
The customer’s misuse of the platform or violation of this MSLA.
Any claim that the customer’s data or use of the service infringes on a third-party’s intellectual property rights or violates any law or regulation.
10.5. Force Majeure
Cyzea.io will not be liable for any delay or failure to perform any of its obligations under this MSLA due to events beyond its reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, governmental actions, internet or telecommunications failures, third-party service disruptions, or other force majeure events.
10.6. Termination
Cyzea.io reserves the right to terminate this MSLA and the customer’s access to the platform if:
- The customer breaches any terms of this MSLA.
- Continued service to the customer poses a risk to the platform’s security, integrity, or other customers.
- In the event of termination, the customer’s access to the platform will be revoked, and any data stored on the platform will be made available for export for a period of 30 days.
11. Acceptable Use Policy
The customer agrees to use the Cyzea.io platform only for lawful purposes and in accordance with this MSLA. Prohibited activities include, but are not limited to:
- Using the service to engage in illegal or harmful activities, including fraud, phishing, or unauthorized data collection.
- Attempting to disrupt the platform or gain unauthorized access to other users’ accounts.
- Violations of this policy may result in suspension or termination of the customer’s access to the platform.
12. Information & Data Security
12.1. Data Collection and Use
Cyzea.io collects the limited amount of data necessary to enable interaction with the platform. This includes:
- Maturity Meta Data: Non-personal META DATA related to the customer’s cybersecurity maturity, such as assessments and scores, used exclusively for platform functionality and improving service relevance. This data does not include any sensitive or personally identifiable information.
- Basic Personal Data: Limited to essential information like names, email addresses, and login credentials, necessary to facilitate user access and communication within the platform.
We do not share personal data with third parties. However, Cyzea.io may collect and use basic, non-personal information (e.g., website visit data) for search engine optimization (SEO) purposes. This data is anonymized and used solely to enhance the performance and visibility of the public website.
12.2. Security Measures
Cyzea.io is committed to maintaining the best practices of security for CYBOARD – its Cyber Risk Management platform and services. We implement a range of technical, administrative, and organizational measures to protect the confidentiality, integrity, and availability of customer data and the platform.
- Raw Level Database Security for Client Segregation: Cyzea.io implements strict database security measures to ensure that each client’s data is fully segregated at the raw database level. This guarantees that no unauthorized access between client datasets is possible, further enhancing data protection and privacy.
- Role-Based Access Control (RBAC): Cyzea.io enforces Role-Based Access Control (RBAC) across the platform, ensuring that users only have access to the information and functions necessary for their role. This minimizes the risk of unauthorized access and enhances internal security by applying the principle of least privilege.
- Multi-Factor Authentication (MFA): Cyzea.io implements multi-factor authentication (MFA) for all users accessing the platform. This ensures that user accounts are protected with an additional layer of security beyond passwords, minimizing the risk of unauthorized access due to compromised credentials.
- Encryption in Transit and at Rest: All customer data is encrypted both in transit and at rest using industry-standard encryption protocols (e.g., TLS for transit, AES-256 for data at rest). This ensures that sensitive information is protected from unauthorized access, interception, or tampering.
- Session Management: Cyzea.io enforces strict session management practices, including automatic session expiration, to reduce the risk of unauthorized access through forgotten or unattended sessions.
- Annual Penetration Testing: Cyzea.io conducts annual penetration tests to identify and mitigate any vulnerabilities in the platform. The results of these tests are used to continuously improve security and address potential risks before they can impact customers.
- Vulnerability Management Policies: Cyzea.io has a vulnerability management program in place, including regular scanning, identification, and remediation of potential security flaws. We actively track vulnerabilities and ensure timely patching and updates to the platform.
- Software Bill of Materials (SBOM): Cyzea.io maintains a Software Bill of Materials (SBOM) for transparency in the software components used within the platform. This allows for better tracking of vulnerabilities in third-party components and ensures prompt action when security issues arise
- Cloud Configuration Management: Cyzea.io employs rigorous cloud configuration management practices to maintain the security and integrity of the cloud environment. This includes continuous monitoring and auditing of cloud configurations to ensure compliance with security policies and prevent misconfigurations that could expose vulnerabilities.
- Detection and Response: Cyzea.io utilizes detection and response systems to monitor the platform in real-time for potential security threats. Our security operations team is equipped to respond swiftly to incidents, minimizing potential damage and ensuring prompt mitigation.
- Backups and Disaster Recovery: Regular data backups are performed to ensure that customer data is protected in the event of hardware failure, accidental deletion, or other disasters.
12.3. Limitation of Liability for Security Incidents
While Cyzea.io is committed to implementing robust security measures, the customer acknowledges that no system or method of data transmission over the internet is 100% secure. Cyzea.io cannot guarantee absolute security and, as such, cannot be held liable for:
- Security incidents caused by the customer’s failure to implement adequate security controls (e.g., weak passwords, failure to enable Multi-Factor Authentication, or not following Cyzea.io’s security recommendations).
- Incidents resulting from the customer’s use of third-party integrations or software that are not managed by Cyzea.io.
- Unauthorized access resulting from customer negligence, including the sharing of access credentials or failure to monitor and control user access.
- Force majeure events or other incidents outside of Cyzea.io’s reasonable control, such as large-scale cyber-attacks, natural disasters, or internet infrastructure failures.
12.4. Customer Responsibilities
While Cyzea.io is committed to ensuring the security of the platform, customers also play a critical role in maintaining security. The customer is responsible for:
- Implementing strong password policies and ensuring secure management of account credentials.
- Reporting any suspicious activity or potential security incidents to Cyzea.io as soon as possible.
- Following Cyzea.io’s guidelines for secure use of the platform.
13. Data Ownership and Responsibility
The customer retains ownership of all data they input or store within the CYBOARD platform. Cyzea.io acts as a data processor and provides the platform for the customer’s use.
The customer is responsible for:
- Ensuring their data is compliant with all applicable laws and regulations.
- The accuracy, quality, and legality of the data submitted to the platform.
- Cyzea.io assumes no liability for any breach of legal obligation regarding the customer’s data.
14. Customer Data Security Obligations
The customer is responsible for maintaining the security of their account credentials, including usernames and passwords, and for implementing any security measures recommended by Cyzea.io (such as multi-factor authentication).
The customer agrees to:
- Promptly report any unauthorized access or security breaches.
- Use the platform in accordance with applicable data protection laws.
- Not hold Cyzea.io liable for any damages or losses resulting from the customer’s failure to implement appropriate security measures.
15. Governing Law and Jurisdiction
This MSLA and any disputes arising out of or in connection with it, including any questions regarding its existence, validity, or termination, shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law principles.
Any legal action or proceeding arising under this MSLA shall be exclusively brought in the competent courts located in Tel Aviv, Israel, and both parties irrevocably submit to the jurisdiction of such courts.
15.1. Severability
If any provision of this MSLA is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of this MSLA shall remain in full force and effect. The invalid or unenforceable provision will be reformed to the minimum extent necessary to make it valid and enforceable while preserving its intent.
16. Cross-Jurisdiction Data Protection and Compliance
Cyzea.io is committed to ensuring that our platform complies with applicable data protection laws in the jurisdictions where our customers operate, including but not limited to the General Data Protection Regulation (GDPR) in the European Union and relevant data protection laws in the United States.
16.1. EU and US Data Protection Compliance
- GDPR Compliance (EU): For customers in the European Union, Cyzea.io ensures that all data processing activities comply with GDPR. This includes:
- Data Minimization: We only collect and process the data necessary to provide our services.
- Data Protection: Customer data is securely stored in ISO 27001-certified datacenters located in Germany. All data transfers are subject to the necessary safeguards, including the use of Standard Contractual Clauses (SCCs), to ensure compliance with EU data protection requirements.
- Rights of Data Subjects: EU customers have the right to access, correct, delete, or restrict the processing of their data in accordance with GDPR provisions. Any requests related to these rights will be handled promptly and in compliance with EU regulations.
- US Data Protection (Including CCPA): For customers in the United States, Cyzea.io operates in accordance with US federal and state data protection laws, including the California Consumer Privacy Act (CCPA) where applicable. Customers will be informed about how their data is collected, stored, and processed, and they can request access, deletion, or opt-out of data sales (if relevant).
16.2. Data Transfers and Storage
Customer data is stored in Germany, in an ISO 27001-certified cloud datacenter, regardless of the customer’s geographic location. Where cross-border data transfers are required, Cyzea.io ensures that such transfers comply with applicable regulations, including providing adequate safeguards for data protection in line with the GDPR and other global data protection standards.
16.3. Jurisdiction for Dispute Resolution
For all customers, Cyzea.io strives to comply with local legal frameworks, and disputes regarding data protection or other concerns will be addressed in accordance with the laws of Israel as outlined in this MSLA. However, we maintain compliance with local data protection laws to ensure that customers feel safe using the platform regardless of their location.
16.4. Dispute Resolution
In the event of a dispute arising out of or in connection with this MSLA, the parties agree to the first attempt to resolve the dispute through good faith negotiations. If the dispute cannot be resolved within 30 days, it will be submitted to binding arbitration in accordance with the rules of the Israel Arbitration Association. Any arbitration proceedings will be conducted in Tel Aviv, and the arbitrator’s decision will be final and binding on both parties.
17. Data Retention and Deletion
Upon the termination or expiration of the customer’s license to use the CYBOARD platform, the following data retention and deletion policies will apply:
17.1. Data Retention Period
- Post-Termination Retention: Cyzea.io will retain customer data for a period of 30 days following the termination or expiration of the contract. During this period, the customer will have the ability to export any data stored within the platform.
- Permanent Deletion: After the 30-day retention period, Cyzea.io reserves the right to permanently delete or archive all customer data stored on the platform, including any backups, without further notice. Once the data is deleted, it cannot be recovered.
17.2. Customer Responsibility
The customer is solely responsible for exporting any data they wish to retain during the 30-day retention period. Cyzea.io will not be held liable for any data that is not exported or is lost due to the expiration of the retention period.
17.3. Early Data Deletion
At the customer’s written request, Cyzea.io may agree to delete customer data prior to the end of the 30-day retention period. Such deletion is permanent and irreversible, and Cyzea.io will not be responsible for any consequences resulting from early data deletion.
17.4. Compliance with Legal Obligations
Cyzea.io may retain certain customer data beyond the 30-day retention period if required to comply with legal obligations, regulatory requirements, or to resolve disputes.
18. Data Processing Agreement
If required under applicable data protection regulations (e.g., GDPR), Cyzea.io will enter into a Data Processing Agreement (DPA) with the customer to govern the handling of personal data processed through the platform. The DPA will form an integral part of this MSLA where applicable.
19. MSLA Exclusions
The service level commitments outlined in this MSLA do not apply to any performance issues or service interruptions caused by:
19.1. Customer Misuse or Misconfiguration:
- Any issues arising from the customer’s failure to follow best practices, usage guidelines, or instructions provided by Cyzea.io.
- Misuse or unauthorized use of the platform, including improper configuration or failure to apply recommended security measures (e.g., multi-factor authentication, role-based access controls).
19.2. Third-Party Services and Integrations:
- Any failures, delays, or interruptions caused by third-party services or systems that are integrated with the CYBOARD platform (e.g., third-party APIs, cloud providers, or external applications).
- Service interruptions or reduced performance due to external internet service providers, telecommunications providers, or other external factors beyond Cyzea.io’s control.
19.3. Force Majeure Events:
Events beyond Cyzea.io’s reasonable control, including but not limited to natural disasters, acts of government, strikes, riots, wars, cyber-attacks by third parties, or any other event of force majeure.
19.4. Scheduled Maintenance:
Downtime or reduced performance during scheduled maintenance windows, as communicated to the customer in advance.
19.5. Customer Infrastructure:
Failures, delays, or service interruptions resulting from hardware, software, or networking equipment that is owned, operated, or managed by the customer.
19.6. Unauthorized Access:
Any incidents resulting from unauthorized access to the customer’s systems due to their failure to implement appropriate security measures (e.g., weak passwords).
19.7. Beta Features:
Any performance or service issues related to the use of experimental or beta features offered by Cyzea.io, which are provided “as-is” without guarantees of availability or functionality.
19.8. Legal or Regulatory Changes:
Any issues arising from compliance with changes in laws, regulations, or industry standards that impact the operation of the CYBOARD platform, unless explicitly addressed as part of our compliance obligations.
20. Changes to the MSLA
Cyzea.io reserves the right to modify the terms of this MSLA at any time, provided that customers are given at least 30 days’ written notice of any material changes. Continued use of the platform after the effective date of the updated MSLA will constitute acceptance of the revised terms. If the customer does not agree to the updated terms, they have the right to terminate the agreement prior to the effective date of the changes.
21. Service Suspension
Cyzea.io reserves the right to suspend the customer’s access to the platform, in whole or in part, without liability in the following circumstances:
The customer is in breach of any terms of this MSLA.
- Cyzea.io detects potential security risks or unauthorized use of the platform.
- Service suspension is necessary to perform urgent maintenance or updates.
- The customer has failed to renew the license for continued use of the platform, or there is an overdue payment for the service.
22. License Terms
22.1. Grant of License
Cyzea.io grants the customer a non-exclusive, non-transferable, and revocable license to use the Cyber Risk Management platform for the duration of the agreed subscription period, subject to the terms of this MSLA. The license is provided solely for the customer’s internal business use and may not be sublicensed, assigned, or transferred to any third party without prior written consent from Cyzea.io.
22.2. License Duration and Renewal
The license is valid for a period of one (1) year from the date of purchase or renewal. At the end of the annual period, the license will expire unless renewed by the customer through timely payment of the applicable renewal fees. Cyzea.io will provide the customer with notice of upcoming renewal at least 30 days before the license expiration date.
If the license is not renewed before expiration:
- Access to the platform will be suspended until payment for renewal is received.
- Any data stored on the platform will remain available for export for a period of 30 days following suspension, after which Cyzea.io reserves the right to delete or archive such data.
22.3. License Restrictions
The customer agrees not to:
- Use the platform in any manner that infringes upon the intellectual property rights of Cyzea.io or violates any applicable laws.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the platform.
- Use the platform for any purposes beyond those expressly permitted under this MSLA, such as for competing services or for unauthorized access to third-party systems.
Failure to comply with these restrictions may result in immediate termination of the license and suspension of access to the platform without liability to Cyzea.io.
23. Annual Payment and Renewal Process
23.1. Payment Terms
The customer agrees to pay an annual subscription fee for the use of the CYBOARD platform. The amount of the fee is determined based on the services and features selected at the time of purchase or renewal. Payments must be made in full before the start of each annual subscription period.
- Invoice and Payment Due Date: Cyzea.io will issue an invoice for the upcoming subscription period at least 30 days before the current license expires. Payment is due within 30 days of the invoice date.
- Payment Method: Payments may be made via bank transfer.
- Late Payments: If payment is not received by the due date, Cyzea.io reserves the right to suspend access to the platform until the outstanding payment is made.
23.2. Renewal Process
The license is automatically renewable at the end of each annual period unless otherwise terminated by either party as outlined in the MSLA.
- Renewal Notice: Cyzea.io will notify the customer of the upcoming renewal at least 30 days prior to the license expiration.
- Failure to Renew: If the customer fails to renew the license by the expiration date, Cyzea.io reserves the right to suspend access to the platform. Data stored on the platform will be retained for a period of 30 days after suspension, during which time the customer may export their data.
After the 30-day retention period, Cyzea.io reserves the right to permanently delete or archive customer data if the license is not renewed.
23.3. Price Adjustments
Cyzea.io reserves the right to adjust the annual subscription fee for each renewal period. Any changes to the subscription fee will be communicated to the customer at least 60 days before the renewal date. The customer has the option to terminate the license before the renewal date if they do not agree to the revised pricing.
24. Intellectual Property Rights
All intellectual property rights, including but not limited to copyrights, patents, trademarks, and trade secrets, in the CYBOARD platform and associated materials, are and shall remain the exclusive property of Cyzea.io.
The customer is granted a non-exclusive, non-transferable, and revocable license to use the Cyzea.io platform strictly in accordance with the terms of this MSLA. The customer shall not:
- Copy, modify, or create derivative works based on the platform.
- Reverse engineer, decompile, or disassemble the platform or attempt to derive the source code.
- Use Cyzea.io’s intellectual property in any manner that violates the rights of Cyzea.io or its licensors.
24.1. Feedback and Improvements
Any feedback, suggestions, or improvements provided by the customer regarding the Cyzea.io platform may be used by Cyzea.io to improve its services. Cyzea.io retains all rights, title, and interest in any enhancements, features, or modifications to the platform that arise from customer feedback, and such contributions will not entitle the customer to any compensation or additional rights.
25. Non-Solicitation
During the term of this MSLA and for a period of 12 months following its termination, the customer agrees not to directly or indirectly solicit, hire, or otherwise engage any employees or contractors of Cyzea.io involved in the delivery of services under this agreement, without the prior written consent of Cyzea.io.
26. Termination for Convenience
Either party may terminate this MSLA for convenience by providing 30 days’ written notice to the other party. Upon termination, the customer’s access to the Cyzea.io platform will cease, and any fees already paid for the current subscription period will not be refunded. The customer will have 30 days to export any stored data from the platform, after which Cyzea.io reserves the right to delete or archive such data.
27. Survival of Obligations
The obligations of both parties regarding confidentiality, payment of outstanding fees, intellectual property rights, limitations of liability, indemnification, and any other provisions that, by their nature, should reasonably survive the termination or expiration of this MSLA, will remain in effect after the termination or expiration of this agreement.
28. Acceptance of Terms
By accessing or using the CYBOARD platform, the customer acknowledges that they have read, understood, and agree to be bound by this Master Service and License Agreement (MSLA). Continued use of the platform after updates to this agreement will constitute acceptance of the revised terms.
28.1. Cookies and Tracking Technologies

Cyzea.io is committed to ensuring that our platform is accessible to all users. We strive to meet the accessibility standards set forth by the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA. Currently, our platform is partially conformant with these guidelines, meaning that while we are actively working toward full compliance, there may be some areas that do not fully conform to all aspects of the standard.

29. Limitation of Third-Party Beneficiaries
This MSLA is intended solely for the benefit of Cyzea.io and the customer and does not create any rights or benefits for any third party. No third party shall have the right to enforce any provision of this agreement.
30. Export Control
The customer agrees to comply with all applicable export control laws and regulations related to the use of the Cyzea.io platform. The customer shall not export, re-export, or otherwise transfer the platform to any individual or entity in violation of such laws, including export restrictions imposed by the State of Israel or other relevant jurisdictions.
The customer is solely responsible for ensuring that their use of the platform complies with these legal requirements.
31. No Waiver
Failure or delay by Cyzea.io to enforce any provision of this MSLA shall not be construed as a waiver of that provision or of any other provision, and Cyzea.io retains the right to enforce the MSLA at any time.
32. Publicity
The customer agrees that Cyzea.io may use the customer’s name and logo in marketing materials, customer lists, and presentations. Any such use will be subject to the customer’s prior written approval, which will not be unreasonably withheld.
33. Entire Agreement
This MSLA constitutes the entire agreement between Cyzea.io and the customer regarding the use of the platform and supersedes all prior or contemporaneous agreements, representations, or understandings, whether written or oral. Any amendments or modifications to this MSLA must be made in writing and signed by both parties.
33.1. Governing Language
This MSLA is provided in multiple languages for convenience. In the event of any conflict between versions, the English version shall prevail.
34. Version Control and Last Updated
This Master Service and License Agreement (MSLA) is subject to updates or revisions at Cyzea.io’s discretion. Customers will be notified of any material changes at least 30 days prior to their effective date. By continuing to use the CYBOARD platform after the effective date, the customer agrees to the revised terms.
